[Terms and Conditions]

This contract is entered into between [Influencer] (hereinafter referred to as "Party A") and [Almerson Pacific LLC] (hereinafter referred to as "Party B"), specifying the conditions for Party A to produce and provide promotional videos for Party B's products, thereby regulating the rights and obligations of both parties.

Article 1 (Purpose)

The purpose of this contract is for Party A to produce and provide videos to promote Party B's products, and for Party B to pay Party A a fee for the said videos.

Article 2 (Production and Provision of Videos)

1.     Party A shall receive product information and promotional guidelines from Party B and create a proposal based on this information.

2.     The proposed plan must be delivered to Party B by the agreed-upon date and must be produced into a video by Party A after Party B's confirmation.

3.     The provided video may be used for Party B's marketing purposes, and Party B may post the video on its website, social media accounts, etc.

Article 3 (Copyright and Usage Rights)

1.     The copyright of the video belongs to Party A; however, Party B has the non-exclusive right to use the video for marketing purposes without limitations.

2.     Party A guarantees that the video is produced in a manner that does not damage the reputation of Party B.

Article 4 (Other Clauses)

1.     Matters not specified in this contract shall be interpreted and applied in accordance with laws and customs.

2.     Disputes arising from this contract shall be resolved under the jurisdiction of the Seoul Central District Court.

3.     Both parties shall collaborate truthfully in the production of videos during the contract period.

4.     The contract period shall be six months from the date of this contract.

5.     Both parties shall protect and keep confidential any information obtained in connection with this contract.

6.     Party B shall not defame Party A while performing customer inquiries on the brand's homepage.

7.     Before producing and providing the video, Party A shall receive information about the product for product promotion.

8.     If neither party contacts the other for more than a week without prior consultation, either party may terminate the contract.

9.     Party A shall upload promotional posts such as photos and videos to the agreed SNS channel and maintain them for a minimum of one year from the upload date. Party A shall not defame Party B's products. Party B may request the deletion of posts at its discretion, and Party A shall promptly delete posts upon receiving such requests.

10.   Party A shall upload the completed short-form video to the agreed channel and maintain it for a minimum of one year from the upload date. Party A shall not defame Party B's products. Party B may request the deletion of posts at its discretion, and Party A shall promptly delete posts upon receiving such requests.

11. The Influencer shall pay a deposit of $40. Party B will refund the deposit within 7 days after the video is uploaded to the Influencer's social media. The contract date is considered to be the date when the deposit is paid.
